These terms of use (the “Terms”) govern the use of the offrepro.ca website and your interaction with the software of OffrePro inc. (“OffrePro”, “we”), including viewing and accepting a proposal or business document online (together, the “Service”). By using the site or responding to a document sent by OffrePro, you confirm that you have read, understood and accepted these Terms.
1. About the Service
OffrePro designs and operates software that lets businesses catalogue their service offerings, prepare AI-assisted proposals and business documents, send them to their own clients and obtain acceptance through an electronic signature. Access to the Service is currently by request, through the site's access-request form. Its features may change.
2. Accounts
Access to the software is reserved for businesses whose access request has been accepted, and for their team members, by invitation. Each account holder is responsible for the confidentiality of their credentials and for any activity carried out under their account, and must notify us without delay of any unauthorized access. A using business's own clients do not have an account: they view and accept a document through a private link sent to them.
3. Acceptable use
By using the site or the Service, you agree not to:
- Use it for illegal or fraudulent purposes or in a way that infringes the rights of others;
- Copy, modify, decompile, disassemble or attempt to extract the source code of the Service;
- Circumvent security measures, probe for vulnerabilities, mass-extract content or overload the infrastructure;
- Upload malicious content or impersonate others.
4. Content and documents
- OffrePro content. The software, its interface, its code and its documentation remain the property of OffrePro and may not be reproduced or reused without our authorization;
- Your business data. The service offerings, proposals, clauses and other documents you create in the software belong to you. You are solely responsible for their accuracy and content, and for your right to disclose the information you enter, whose processing is described in our privacy policy.
5. AI-generated content
The software may use language models to help you draft the content of your proposals and documents (see our privacy policy). This content is generated automatically, may contain inaccuracies, and does not constitute legal, accounting or any other professional advice. You remain solely responsible for reviewing and validating any content before sending it to a third party, as well as for its accuracy and its contractual effects.
6. Electronic signature
The Service allows a document to be accepted through an electronic signature accompanied by an audit trail (name, email, timestamp, IP address, browser identifier). The parties acknowledge that such a signature may validly bind them under Québec's Act to establish a legal framework for information technology (CQLR, c. C-1.1) and sections 2826 and following of the Civil Code of Québec.
7. Protection of personal information
The processing of personal information is described in our privacy policy, which forms an integral part of these Terms.
8. Availability of the Service and disclaimer of warranties
We make reasonable efforts to ensure the availability and reliability of the Service, without however guaranteeing uninterrupted or error-free operation. To the maximum extent permitted by law, the Service is provided “as is” and “as available”, without warranty of any kind, express or implied, including as to merchantability, fitness for a particular purpose or non-infringement. We may temporarily suspend the Service for maintenance, endeavouring to limit its impact.
9. Limitation of liability
To the maximum extent permitted by applicable law, OffrePro's total liability to you, on all grounds combined, is limited to the amounts you paid us for the Service during the twelve (12) months preceding the event giving rise to the claim, or to one hundred Canadian dollars (CA$100) if no amount was paid. OffrePro is not liable for indirect, incidental or consequential damages, nor for loss of profits, revenue, data or business opportunities, including those arising from AI-generated content you choose to send without sufficient review. Nothing in these Terms limits liability that cannot be excluded under the law, including in cases of intentional or gross fault.
10. OffrePro's intellectual property
The site, the Service, its code, its interface, its trademarks, its logos and its documentation remain the exclusive property of OffrePro or its licensors. No right is granted to you other than the limited right to use the software under your account and to view the documents sent to you.
11. End of access
- You may stop using the site and the Service at any time;
- We may restrict or withdraw access to the site, the Service or a document link in the event of misuse or breach of these Terms, or when a document is no longer active;
- At your request, we provide you with a copy of the information we hold about you, in accordance with our privacy policy.
12. Governing law and jurisdiction
These Terms are governed by the laws of Québec and the laws of Canada applicable therein. Any dispute relating to the Service falls within the exclusive jurisdiction of the courts of the judicial district of Québec (Québec), subject to applicable mandatory provisions.
13. Language
These Terms are published in French and in English. In case of discrepancy, the French version prevails. The parties confirm their wish that any related document be available in French, in accordance with the Charter of the French language.
14. General provisions
- Entire agreement. These Terms and the privacy policy constitute the entire agreement between the parties regarding the Service;
- Severability. If a provision is held invalid, the others remain in force;
- No waiver. Failure to exercise a right does not constitute a waiver of it;
- Assignment. You may not assign these Terms without our written consent; we may assign them in the context of a reorganization or business transfer.
15. Changes to the Terms
We may amend these Terms. The current, dated version is published permanently at this address. Continued use of the site after a change takes effect constitutes acceptance of the amended Terms.
